Acceptance of Terms

By accessing or using FinXclusive, operated by Netgrawl Limited ("we," "us," or "our"), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this service.

These terms apply to all users of the service, including visitors, registered users, agents, and other contributors of content. You must be at least 18 years of age to use our services.

Description of Service

FinXclusive, operated by Netgrawl Limited, is an all-in-one financial and business management platform that provides tools for:

  • Personal finance management (income, expenses, budgets, savings goals)
  • Smart Wallet system with automatic income allocation
  • Task organization and reminders
  • Point of Sale (POS) operations (Pro/Enterprise tiers)
  • Inventory and stock management (Pro/Enterprise tiers)
  • Business analytics and reporting
  • Credit sales and customer management (Pro/Enterprise tiers)
  • Agent referral and commission management
  • Cross-device synchronization
  • Offline mode functionality

We reserve the right to modify, suspend, or discontinue any part of the service at any time with or without notice. We will make reasonable efforts to notify users of significant changes when possible.

User Responsibilities

As a user of FinXclusive, you agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and update your account information to keep it accurate
  • Maintain the confidentiality of your account credentials
  • Use the service only for lawful purposes
  • Not engage in any fraudulent, abusive, or illegal activities
  • Not interfere with or disrupt the service or servers
  • Not attempt to gain unauthorized access to any part of the service
  • Not use automated systems (bots, scrapers) to access the service without permission
  • Not share your account credentials with others
  • Comply with all applicable local, state, national, and international laws
  • Be responsible for all activities that occur under your account

Payments and Subscriptions

FinXclusive offers different service tiers with varying payment requirements:

Free Personal Finance Management (Mobile App Only)

Personal finance management features are available free of charge in the FinXclusive mobile application. These free features are only accessible through the mobile app and cannot be accessed via web. The free tier includes basic expense tracking, budget planning, task management, and Smart Wallet functionality.

Business Management (Pro & Enterprise - Web Access)

Business management features, including Pro and Enterprise tiers, are available via web access and require a paid subscription. These plans are billed on a monthly basis at minimum.

Free Trial: Pro and Enterprise plans may include a free trial period. If you cancel during the trial period, you will not be charged. If you do not cancel before the trial ends, your subscription will automatically begin and you will be charged.

Billing: Subscriptions are billed on a recurring monthly basis and will automatically renew unless cancelled. You may cancel your subscription at any time through your account settings or by contacting us, but cancellation will take effect at the end of the current billing period. You will continue to have access to paid features until the end of your current billing period.

Advanced Smart Wallet Upgrade (Mobile App)

Free users in the mobile app can upgrade to the Advanced Smart Wallet add-on, which provides enhanced wallet features including manual wallet-to-wallet transfers, increased profile limits, and additional account capacity.

Subscription Terms: The Advanced Smart Wallet upgrade requires a minimum subscription period of 3 months. Subscriptions are billed and managed through Google Play Store (for Android) or Apple App Store (for iOS) as in-app purchases. By purchasing this upgrade, you agree to the terms and conditions of the respective app store.

App Store Billing: All billing, payment processing, and subscription management for the Advanced Smart Wallet upgrade is handled by Google (for Android) or Apple (for iOS). Refunds, cancellations, and subscription management must be handled through the respective app store's policies and procedures.

Price Changes: We reserve the right to change our pricing at any time. We will provide at least 30 days' notice of any price increases for web-based subscriptions. Price changes will apply to your next billing cycle after the notice period. For in-app purchases, price changes are subject to app store policies.

Refunds:

  • Web Subscriptions (Pro/Enterprise): All fees are non-refundable except as required by law or as explicitly stated in our Refund Policy. If you believe you are entitled to a refund, please contact us at support@finxclusive.comor review our Refund Policy for detailed information.
  • In-App Purchases (Advanced Smart Wallet): Refunds for in-app purchases are subject to Google Play Store and Apple App Store terms and conditions. Please contact the respective app store directly for refund requests in accordance with their refund policies.

Payment Methods:

  • Web Subscriptions: We accept various payment methods through our third-party payment processors. By providing payment information, you authorize us to charge your payment method for all fees due.
  • In-App Purchases: Payment methods are managed by Google Play Store or Apple App Store. You must have a valid payment method on file with the respective app store to purchase the Advanced Smart Wallet upgrade.

Intellectual Property

The service and its original content, features, and functionality are owned by Netgrawl Limited and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our service or included software, nor may you reverse engineer or attempt to extract the source code of that software.

You retain ownership of any content you create or upload to the service. By using the service, you grant us a license to use, store, and process your content solely for the purpose of providing and improving our services.

Disclaimers

Service Availability: We strive to provide reliable service, but we do not guarantee that the service will be available at all times. The service may be unavailable due to maintenance, updates, technical issues, or circumstances beyond our control.

No Warranty: The service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Financial Advice: FinXclusive provides financial management tools and information, but we do not provide financial, investment, or tax advice. You should consult with qualified professionals for advice regarding your specific financial situation.

Data Accuracy: While we make efforts to ensure data accuracy, we cannot guarantee that all information displayed is completely accurate or up-to-date. You are responsible for verifying the accuracy of your financial data.

Termination

We may terminate or suspend your account and access to the service immediately, without prior notice, for any reason, including breach of these Terms of Service, fraudulent activity, or violation of applicable laws.

Upon termination, your right to use the service will cease immediately. We may delete your account and all associated data in accordance with our data retention policies and applicable laws.

Limitation of Liability

In no event shall Netgrawl Limited, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the service.

Our total liability for any claim arising from your use of the service shall not exceed the amount you paid us in the twelve (12) months prior to the claim, or ₦10,000 (ten thousand Naira), whichever is greater.

We are not liable for any loss or damage resulting from:

  • Service interruptions or unavailability
  • Data loss or corruption
  • Unauthorized access to your account
  • Errors or omissions in the service
  • Third-party services or integrations
  • Your failure to maintain the security of your account

Indemnification

You agree to indemnify, defend, and hold harmless Netgrawl Limited, its directors, employees, partners, agents, suppliers, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of the service
  • Your violation of these Terms of Service
  • Your violation of any rights of another party
  • Your violation of any applicable laws or regulations
  • Any content you submit, post, or transmit through the service

Governing Law

These Terms shall be interpreted and governed by the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.

Any disputes arising from these terms or your use of the service shall be subject to the exclusive jurisdiction of the courts of Nigeria.
